Legal Agreement: Terms of Service
GO WORKSPACE MEMBER TERMS & CONDITIONS
These Member Terms and Conditions (“Agreement”) govern your use of the facilities, services, and resources of Dwelli Inc, d.b.a Go Workspace (“Go Workspace,” “we,” “us,” or “our”). By enrolling as a member or using our services, you (“Member,” “you,” or “your”) agree to be bound by this Agreement.
This Agreement creates a revocable license to use shared workspace and does not create a lease, tenancy, or possessory interest.
1. Services
Go Workspace provides shared office space, desks, internet access, meeting rooms, event space, printing services, and related amenities (“Services”). All Services are subject to availability, scheduling, and this Agreement.
We reserve the right to modify, suspend, or discontinue any Services at any time.
2. Member Conduct and Community Standards
Members and guests must conduct themselves in a professional, lawful, and respectful manner.
You agree not to:
- Harass, threaten, defame, or disturb others
- Engage in disruptive behavior
- Use offensive, obscene, or unlawful language or materials
- Interfere with others’ work or privacy
This is an open, shared environment. Conversations and activities may be overheard.
3. Prohibited Activities
You may not:
- Engage in illegal activity
- Smoke, vape, use drugs, or be intoxicated
- Bring hazardous or flammable materials
- Introduce malware, viruses, or hacking tools
- Misuse internet or network systems
- Damage property
- Infringe intellectual property rights
- Operate pyramid schemes, spam, or solicitations
- Misrepresent identity
- Bring unauthorized animals (except service animals)
Go Workspace may determine violations in its sole discretion.
4. Use of Services and Facilities
Members shall:
- Comply with posted rules and policies
- Respect space usage limits
- Use meeting rooms appropriately
- Maintain cleanliness
- Be respectful of other members when taking calls or virtual meetings
5. Access and Security
Access is limited to active members.
You may not:
- Share access codes, keys, or credentials
- Allow unauthorized persons entry
- Access restricted areas
You are fully responsible for your guests’ actions.
Premises are monitored by security cameras.
6. Membership Term and Termination
a. Termination by Go Workspace
We may terminate membership immediately for violation of this Agreement, non-payment, or misconduct.
If terminated without cause, prorated refunds may be issued at our discretion.
No refunds are issued for termination due to non-payment or misconduct.
b. Termination by Member
Members may cancel with 30 days’ written notice sent to mindy@mygospace.com.
Notice is effective when sent from your registered email address.
7. Fees, Billing, and Payment
- Membership fees are billed monthly in advance
- Variable charges are billed in arrears
- Payment is due upon invoice date
- Late payments may result in service suspension and late fees
Payments are made through the Go Workspace portal via ACH, debit, or credit card.
Unpaid balances may be referred to collections.
8. Cancellation and Refund Policy
Except as expressly stated herein, all fees are non-refundable.
Meeting Rooms
- 24+ hour notice: no charge
- Less than 24 hours: 50% charge
- No-show: full charge
9. Guest Policy
Members may host up to two (2) guests for up to two (2) hours.
Guests must be registered or checked in.
Groups of four (4) or more or meetings exceeding two (2) hours must use reserved meeting rooms.
Members are responsible for guest conduct.
10. Printing Policy
Monthly allowances:
- 125 B/W pages
- 25 color pages
Overages:
- $0.05 B/W
- $0.25 color
Allowances do not roll over.
11. Office Suite Terms
Office suite members must return spaces in original condition, excluding normal wear.
Members are responsible for:
- Cleaning
- Repairs
- Removal of belongings
Restoration costs may be charged.
12. Mail and Package Handling
Go Workspace is not responsible for loss, delay, theft, or damage of mail or packages.
Members are responsible for tracking and retrieving deliveries.
13. Confidentiality
Members shall not disclose confidential or proprietary information belonging to Go Workspace or other members.
Confidential information includes access systems, business data, and private communications.
14. Data and Technology Disclaimer
Go Workspace is not responsible for:
- Data loss
- Cybersecurity breaches
- Hacking
- Network failures
- Device damage
Members are responsible for securing their own data.
15. Participation at Own Risk
You use the Services voluntarily and at your own risk.
Go Workspace is not responsible for loss of property, data, or business interruption.
16. Disclaimer of Warranties
Services are provided “AS IS” and “AS AVAILABLE.”
We disclaim all warranties, express or implied, including merchantability and fitness for purpose.
No guarantees are made regarding internet speed, uptime, or availability.
17. Limitation of Liability
To the maximum extent permitted by law:
Go Workspace’s total liability shall not exceed the amount paid by Member in the preceding three (3) months.
We are not liable for indirect, incidental, consequential, or punitive damages.
18. Indemnification
You agree to indemnify and hold harmless Go Workspace from all claims arising from:
- Your conduct
- Your guests
- Your business activities
- Your negligence or misconduct
Including legal fees and costs.
19. Non-Disparagement
Members shall refrain from making false or malicious statements regarding Go Workspace.
Nothing herein restricts lawful reviews or speech protected by law.
20. Insurance
Go Workspace maintains general liability and property insurance.
Members are strongly encouraged to carry renter’s or business insurance.
We are not responsible for uninsured losses.
21. Force Majeure
We are not liable for delays caused by events beyond our control, including natural disasters, government actions, or utility failures.
22. Photo, Video, and Media Release
Members grant Go Workspace irrevocable rights to use their likeness in media for marketing and promotional purposes without compensation.
23. Abandoned Property
Property left more than fourteen (14) days after termination may be disposed of without liability.
24. Assignment
Memberships are personal and non-transferable without written consent.
25. Governing Law and Venue
This Agreement is governed by Georgia law.
All disputes shall be brought exclusively in Fayette County, Georgia.
26. Dispute Resolution (Optional)
Parties agree to attempt mediation prior to litigation. If unresolved, disputes may be submitted to binding arbitration.
27. Severability
If any provision is invalid, remaining provisions remain enforceable.
28. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
29. Authority and Certification
By signing, you certify that:
- You are of legal age
- You have authority to bind any represented entity
- You agree to all terms herein
